Goodvibes Agency - Purchase Policy

Goodvibes Agency (“Goodvibes Agency”, “our,” “we,” or “us”) offers certain enhanced features of the Services which we offer for purchase as a monthly subscription fee (€150,00) that increases with €50 per asset, top-up fee (4% of top-up amount)  made by you from the sub-account and a one time set-up cost (€498,00) per asset. A description of features associated with any of our Purchases are available via our Services. When you purchase a Purchase (each, a “Transaction”), we may request from you to supply additional information relevant to your Transaction, such as your banking account number, banking details, tax number,  or similar technologies used account, name-surname and your address(es) for the purpose of billing and delivery (such information, “Payment Information”). We do not store or process any Payment Information. Each Transaction and Payment Information is tokenised by our fully licensed third party payment service provider to ensure the highest standards of payment security. You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. The amounts due and payable by you for a Transaction through the Services will be presented to you before you place your order and as long as you continue to receive service, unless you cancel this acceptance process that you made at the beginning of the service, your approval under this article will be deemed to exist. If you choose to initiate a Transaction via the Services, you authorise us to transfer your Payment Information to our third party service providers so we can complete your Transaction and agree (a) to pay the applicable fees and any taxes; (b) that Goodvibes Agency via our partner payment service providers, including, but not limited to, your account with distribution platform, for verification, pre-authorisation and payment purposes; and (c) to bear any additional charges that your provider, bank or other financial service provider may levy on you as well as any taxes or fees that may apply to your order. Your order is not binding on Goodvibes Agency until accepted and confirmed by Goodvibes Agency. All payments made are non-refundable and non-transferable except as expressly provided in these Terms.

The parties accept that the monthly price and daily commission rate announced in a public and accessible manner on this website are an integral part of the Policy.
 

Goodvibes Agency shall have a right to set-off, adjust or appropriate any other payments due to / from your account. Further, in case of any overdue from the you, Goodvibes Agency shall have the right to suspend or terminate the Services.

Goodvibes Agency will request the payment for Service’s before activating the Customer’s use of Service. In Goodvibes Agency sole discretion, any delay by the Customer to settle an invoice by the due date may subject the Customer to an additional fee at the rate of 10% per month on the overdue amount. The customer is always responsabel to settle every open amount there is on the end of the service.
 

If you have any concerns or objections regarding charges, you agree to raise them with us first and you agree not to cancel or reject any credit card or third party payment processing charges unless you have made a reasonable attempt at resolving the matter directly with Goodvibes Agency.
 

Goodvibes Agency reserves the right to not process, downgrade or to cancel your order in certain circumstances, for example, if your credit card is declined, if we suspect the request or order is fraudulent, or in other circumstances Goodvibes Agency deems appropriate in its sole discretion. Goodvibes Agency also reserves the right, in its sole discretion, to take steps to verify your identity in connection with your order. You may need to provide additional information to verify your identity before completing your Transaction (such information is included within the definition of Payment Information). Goodvibes Agency will either not charge you or refund the charges for orders that we do not process or cancel. If Goodvibes Agency is unable to collect the relevant amount over the Payment Information from the payment method defined by you in any of the Purchase it offers, other Purchase will be canceled in addition to the uncollectible package.

Transactions will be made with payment instruments permitted by Goodvibes Agency, The payment method we accept is bank transfer. The Partner is solely responsible for all kinds costs and expenses such as commissions, service fees arising from the transactions carried out with its Payment Instruments.
 

Purchases Automatically Renew Until You Cancel & How to Cancel Your Purchase
 

All amounts are payable and charged: (i) for daily commission determined by your spending, at the time you place your order; and (ii) for monthly subscriptions, and, because each such subscription renews automatically for an additional period equal in length to the expiring subscription term until you cancel it, at the time of each renewal until you cancel, using the Payment Information you have provided. If you do not make any ads spending from the account, you do not oblige to pay any daily commission fee. You must cancel the monthly subscription at least 10 days prior to the issuance of the new invoice. Failure to do so will result in the continuation of the subscription, and the invoice will be payable in full.
 

You will not receive a refund for the fees you already paid for your current Purchase period and you will continue to receive the Services ordered until the end of your current Purchase period. You must cancel the monthly subscription at least 10 days prior to the issuance of the new invoice. Changes to Purchases
 

Goodvibes Agency reserves the right to change its pricing terms for Purchases at any time and Goodvibes Agency will notify you in advance of such changes becoming effective. Changes to the pricing terms will not apply retroactively and will only apply for Purchase renewals after such changed pricing terms have been communicated to you. If you do not agree with the changes to our pricing terms then you may choose not to renew your Purchase in accordance with our most up to date Terms of Service.
 

Future Functionality
 

You agree that your purchases are not contingent on the performance of any future functionality or features, or dependent on any marketing or notifications related to future functionality or features.

Fines or extra costs by not following the rules
 

This Platform Usage Policy outlines the guidelines and rules that clients must adhere to when using our platform. By accessing and utilizing our platform, clients commit to following these rules to ensure a respectful and compliant environment for all users. Failure to comply may result in fines or additional costs incurred by the client.

Advertising Standards: Clients agree to advertise only white-hat products and services on the platform. The promotion of gray-hat or black-hat products is strictly prohibited. White-hat practices refer to ethical and legitimate strategies, while gray-hat and black-hat practices involve deceptive or malicious tactics.

Financial Responsibility: In the event that a client is found to be in violation of the advertising standards outlined above, and fines or additional costs are imposed by TIKTOK or its Partners, the client is solely responsible for covering these expenses. This financial responsibility includes any fines levied by TIKTOK or its Partners as a result of the client’s non-compliance with the platform’s rules.
 

Fines and Costs: Fines or additional costs may be imposed for various reasons, including but not limited to the promotion of prohibited products, deceptive advertising practices, or any other violation of the platform’s terms and conditions. The amount of fines or costs will be determined by TIKTOK or its Partners, and the client will be notified of the specific reasons for such charges.
 

Termination of Services: Violations of this Platform Usage Policy may result in the termination of the client’s access to the platform. Goodvibes Agency reserves the right to suspend or terminate services if a client continues to breach the rules outlined in this policy.
 

Review and Modification: Goodvibes Agency reserves the right to review and modify this Platform Usage Policy at any time. Clients will be notified of any changes, and it is their responsibility to stay informed about the current rules and guidelines.

By using our platform, clients acknowledge their understanding of and commitment to this Platform Usage Policy. Failure to comply may result in financial penalties and termination of services.

Downgrading subscription: If you have multiple assets you are able to downgrade your subscription to the mimunim of 1 asset.  Once the platform notices 4 weeks of inactivity on the secondary assets it has the right to downgrade the subscription of it’s users and remove acces from the inactive asset.
