Goodvibes Agency - Purchase Policy

1. General Terms

Goodvibes Agency (“Goodvibes Agency”, “our,” “we,” or “us”) provides enhanced features of its Services which are available for purchase as a monthly subscription fee of €500,00 per asset, a top-up fee of 4% of the top-up amount when paid by bank transfer or 8% when paid via Credit Card or PayPal, and a one-time set-up cost of €1.500,00 for the first asset. Any newly added additional assets are subject to a one-time set-up fee of €497,00.

Descriptions of features associated with each Purchase are available via our Services. When you complete a Purchase (a “Transaction”), we may request additional information relevant to your Transaction, such as your banking account number, tax number, billing address, or any other data required for billing and compliance purposes (“Payment Information”). We do not store or process any Payment Information directly. All Payment Information is tokenised and securely processed by our licensed third-party payment provider. By completing a Transaction, you represent that you have the legal right to use the payment method provided.

2. Payment and Fees

All amounts payable for a Transaction will be displayed before you confirm your order. By proceeding with a Transaction, you authorise Goodvibes Agency to process the payment through its third-party provider and agree to pay the applicable fees, taxes, and any charges imposed by your financial institution. Your order becomes binding only upon confirmation by Goodvibes Agency.

Top-up fees and balances must always be paid via manual bank transfer to the bank account details indicated in the Client Portal. Top-ups are not processed automatically and will only be credited once Goodvibes Agency has received and confirmed the manual payment. Payments already made, including top-ups, are non-refundable and non-transferable unless explicitly provided otherwise in this Policy.

3. Non-Refundable Nature of Payments

All payments, including set-up costs, subscription fees, and top-up transfers, are final and non-refundable. Upon termination or cancellation, all amounts paid remain due and payable up to the effective termination date. Goodvibes Agency has no obligation to refund, transfer, or reallocate any unused amounts except as expressly stated herein.

4. Payment Responsibility and Overdue Accounts

Goodvibes Agency retains the right to set-off, adjust, or appropriate any payments due to or from your account. In cases of overdue balances, Goodvibes Agency reserves the right to suspend or terminate the Services. Delays in settlement may be subject to an additional monthly fee of 10% calculated on the overdue amount. The Client remains fully responsible for settling all outstanding amounts at the end of the Service period.

5. Purchase Renewal and Cancellation

All subscriptions automatically renew for successive terms equal in duration to the previous subscription unless cancelled at least ten (10) days prior to the next invoice issuance. Failure to cancel within this period results in automatic renewal and full invoice liability. If no ad spending occurs within a given period, no top-up fee will be applied. Subscription cancellation must always be submitted in writing to Goodvibes Agency.

6. Changes to Pricing and Purchases

Goodvibes Agency reserves the right to adjust its pricing terms at any time. Clients will be notified in advance of any price changes or adjustments before renewal. Price changes will not apply retroactively and will take effect only for future billing cycles.

Goodvibes Agency may update or amend this Purchase Policy and related terms at any time without prior individual notification. The most recent version of this Policy will always be published on www.g-office.nl. Continued use of the Services following publication constitutes acceptance of the updated Policy. Direct client notification will only occur in cases of price revisions or material billing changes.

7. Platform Usage Policy and Compliance

Clients agree to advertise only white-hat products and services in full compliance with TikTok’s Advertising Policies and all applicable platform guidelines. The promotion of gray-hat or black-hat products or services is strictly prohibited. Any violation of these advertising standards may result in immediate suspension or termination of access and financial liability for any fines, penalties, or additional costs imposed by TikTok or its affiliates. Such fines, penalties, or associated costs shall be borne exclusively by the Client.

8. Downgrades and Inactive Assets

Clients with multiple assets may downgrade their subscription to one active asset at any time. When any secondary assets show four (4) consecutive weeks of inactivity, Goodvibes Agency reserves the right to automatically downgrade the subscription and remove access to the inactive assets in accordance with operational efficiency and platform compliance standards.

9. Subscription Cancellation, Top-Ups, and Remaining Balance

Upon cancellation of the monthly subscription, Partner access to the Client Portal, including any top-up functionality, is immediately disabled. No further top-ups will be accepted. Payments already made, including top-ups, remain non-refundable and non-transferable, except as expressly provided in this Policy.

If a Remaining Balance exists at the time of cancellation, the Partner may continue to operate the assigned advertising sub-account solely to consume such Remaining Balance. No new funds can be added once the subscription is cancelled. All campaign activity during this period remains subject to advertising-platform policies and risk-control procedures, including those of TikTok and ByteDance.

In alignment with advertising-platform inactivity and risk-control procedures, sub-accounts without top-up capability are treated as inactive following cancellation. After ninety (90) days from the date of cancellation, Goodvibes Agency will automatically suspend the sub-account for inactivity. Upon suspension, any Remaining Balance is automatically invalidated and technically expired within the advertising platform in accordance with standard platform compliance measures.

Prior to suspension, Goodvibes Agency may set off or deduct any open invoices, penalties, platform fines, chargebacks, or service fees from the Remaining Balance.

After suspension, the Partner’s access to the advertising sub-account is fully revoked and no further login or campaign activity is permitted unless the Partner remains an active client under a renewed or valid Service Agreement. Historical data access may be limited or removed in accordance with platform-level retention and compliance policies.

10. Review and Modification

Goodvibes Agency reserves the right to review, modify, or update this Purchase Policy at any time without prior notice to individual clients. Updates take effect upon publication on www.g-office.nl. Clients are deemed to have accepted such updates through continued use of the Services. Notification to clients will occur only in the event of pricing adjustments or material billing modifications.

11. Governing Law

This Policy and all Transactions governed by it shall be interpreted in accordance with Dutch law. The courts of Rotterdam, The Netherlands, shall have exclusive jurisdiction in any dispute arising from or related to this Policy.
